Know what you are approving, when payment is due, and what stays yours. We agree on the work and price before we start.

Scope and approval
Each job or plan identifies the customer and authorized approver, intended outcome, covered people and systems, locations, deliverables, exclusions, responsibilities, price, schedule, and completion checks. Paid work requires written approval by signature or an attributable email. A form submission or booking requests a conversation; it does not approve paid work, purchases, account changes, or a subscription.
Quotes remain open for 30 days unless a shorter supplier-validity period is clearly disclosed. Accepted fixed prices stay fixed for the agreed scope. Hourly estimates are identified as estimates and include an agreed spending ceiling. We ask before exceeding that ceiling. Changes require written approval of scope, price, and schedule before implementation. Silence or an open-ended technical conversation does not authorize extra charges.
Payments and purchases
- Residential fixed-price repair or setup
- Due on completion under the advertised offer, preserving free diagnosis and applicable no-fix/no-pay promises.
- Business projects below $1,000
- Separately scoped projects are invoiced after accepted completion, due within 15 calendar days.
- Business projects of $1,000 or more
- A 50% service deposit follows scope approval. The remainder is invoiced after accepted completion, due within 15 calendar days.
- Larger or extended projects
- A written milestone schedule may replace the default deposit schedule. Unapproved milestones are not billable.
- Monthly IT support, AI care, and websites
- Billed monthly in advance from the agreed start date. Website first billing starts at kickoff, with no separate setup charge.
- Approved hardware and non-cancelable purchases
- Funded before ordering unless credit is expressly agreed. Supplier return rules and commitments are disclosed before approval.
A deposit is credited against the service price, not an extra fee or an automatically forfeited amount. On cancellation, we reconcile approved completed work and specifically authorized non-cancelable purchases, then refund the unused balance within 15 calendar days of reconciliation. You do not owe the unperformed remainder simply because the original project was larger.
Hardware is at cost with receipts, and you may buy anywhere. Labor, tax, shipping, travel, subscriptions, and other separately payable items are disclosed before approval. Third-party licenses and advertising spend normally use customer-owned accounts. There is no undisclosed markup or unapproved subscription commitment.
These terms create no late-interest charge, card surcharge, collection fee, or automatic debit permission. Please flag disputed items promptly and pay undisputed amounts when due. Before pausing non-critical service for nonpayment, we give written notice identifying the affected work and at least 10 calendar days to resolve it. We do not lock you out of your administrator accounts or withhold your pre-existing data as leverage.
Existing offers and annual care
Your accepted quote and the applicable advertised offer set the service price and inclusions. Our published prices, free diagnosis, applicable no-fix/no-pay promise, hardware-at-cost policy, and website no-setup-fee and month-to-month promises remain intact. Monthly offers do not acquire hidden onboarding fees or minimum terms through this page.
A separately purchased assessment pays for a clearly described assessment deliverable, not guaranteed remediation. We explain that distinction before approval and never reclassify an advertised free diagnosis as a paid assessment afterward. Broad capabilities do not mean every service is included in every plan.
Home Tech Care is an annual residential product. The member controls cancellation and renewal. There is no automatic renewal without affirmative authorization. If canceled during the year, we refund the unused whole months.
Monthly cancellation and price changes
Cancel monthly business services by phone or email before the next renewal. We confirm the effective date in writing. Service continues through the paid period unless you request an earlier shutdown. There is no early-termination fee, mandatory buyout, or retroactive setup charge. Used or partly used months are not prorated by default; refunds remain available for undelivered work, billing errors, or applicable legal rights.
Specifically approved third-party commitments retain their disclosed terms. Monthly cancellation does not conceal an annual vendor obligation. Future monthly price changes require at least 30 days’ notice and an opportunity to cancel before the new price applies. Prepaid periods and accepted fixed-price work are not repriced retroactively.
BrainRoad normally gives at least 30 days’ notice before discontinuing a recurring service and provides a reasonable handoff. Urgent protective suspension is limited to a material security, unlawful-use, or access risk; we explain the reason and restoration path as soon as practical. We refund prepaid service we will not deliver.
Ownership and handoff
You retain ownership of your domains, accounts, data, trademarks, photos, and supplied content. Domains and core business services are registered in customer-controlled accounts where feasible, with delegated access for BrainRoad. You retain administrator and recovery access. Project access is limited to authorized work.
After payment for the applicable deliverable, you own newly created customer-specific copy, designs, documentation, and code to the extent BrainRoad can transfer those rights. BrainRoad retains its pre-existing tools and reusable components, while granting you and a replacement provider a perpetual, non-exclusive right to use and modify included components as necessary to operate the delivered work. Third-party and open-source licenses still govern; we identify their licenses and portability restrictions before approval.
Paid, completed customer-specific work on a monthly website is portable. Cancellation does not trigger a hidden build buyout. The standard handoff includes an available site/source export, customer-owned assets, account and domain transfer instructions, and known dependencies. Hosting, ongoing editing, BrainRoad-operated integrations, and agency-only licenses do not continue indefinitely after cancellation. We explain replacement needs and export limitations before you commit. Third-party accounts are not promised transferable when their provider forbids it.
The standard export and handoff package has no extra exit fee. Hands-on migration to a new host, rebuilding a nonportable integration, or retraining a new operator may be separately quoted. Declining that work does not block the standard export. We target standard handoff within 10 business days after verifying the authorized recipient and requested contents, coordinating a safe date for critical systems.
Included work and service expectations
The managed website includes the agreed initial site scope and unlimited small changes to existing pages: hours, prices, photos, services, and short copy updates. Requests are queued and prioritized by impact, without a hidden monthly edit-count cap. This does not promise simultaneous work or unlimited major redesigns. Ecommerce, custom applications, new integrations, substantial expansion or redesign, ad spend, and third-party subscriptions are separately quoted.
Managed IT and AI scopes identify covered users, devices, systems, support, maintenance, and exclusions, plus responsibility for monitoring, backups, restore tests, security alerts, licenses, and vendors. Emergency response or recovery-time guarantees exist only when explicitly contracted with actual coverage. A booking, backup indicator, or follow-up task does not establish that guarantee. Existing advertised callback commitments remain unchanged.
Completion and correction
We agree on observable acceptance checks before starting and record results, customer acceptance, documentation, and unresolved items. Please review a delivered milestone within five business days. Reminders or continued conversation are not automatic acceptance. If review is delayed, we agree on a revised schedule rather than declaring success by silence.
Our 30-day project workmanship remedy: report a reproducible failure to meet the agreed delivered scope within 30 days of acceptance, and we will investigate and correct our work without an additional labor charge. New requirements, unrelated faults, third-party changes, and later damage are separately assessed, not automatically blamed on you. If the agreed work cannot be corrected, we discuss a proportionate refund or another written resolution.
This does not narrow an advertised repair guarantee or mandatory rights. Supplier warranties remain separate; at-cost hardware does not eliminate BrainRoad’s own responsibilities. We do not promise a search position, lead count, sales result, perfect security, or recoverability unsupported by an agreed restore test. We document what was checked and the remaining limits.
Access, confidentiality, and exit
Both parties protect confidential business information. We use minimum necessary access, individual identities, MFA where supported, and secure transfer or vault tools. Customer data is not entered into an unapproved public AI service. Destructive changes, wiping, disposal, and material service interruptions require approval, with backups and rollback documented as appropriate to the job.
BrainRoad may use qualified employees or subcontractors and remains accountable for the agreed service. They are subject to equivalent confidentiality and access requirements. We obtain customer authorization where contracts, data rules, or system access require it.
The scope identifies incident contacts, notification responsibilities, and containment authority. Work involving regulated data, a business associate agreement, a security addendum, or special recovery obligations requires the applicable signed arrangement before that work begins.
At exit, we verify the recipient, hand over agreed materials, record dependencies and remaining issues, then remove temporary access in the approved sequence. We do not delete customer production data merely because billing ended. The handoff identifies working-copy retention, backup expiry, and legally required business-record retention; immutable backups cannot always be deleted immediately. Inquiry, consent, and billing records follow their separate retention obligations and our privacy notice.
How these terms apply
These are BrainRoad’s adopted commercial defaults for new work approved with reference to this version. We include the terms version with the written scope and keep the approval record. Expressly agreed customer-specific exceptions control where they differ. Publishing this page does not change an existing customer agreement or establish acceptance by itself. Mandatory legal rights and applicable advertised guarantees are preserved.
